Participation in Rewards Promotion. By registering for a new Zyla Account provided by Company and meeting other eligibility requirements we may impose from time to time, we may permit you to participate in certain promotions (each, a “Promotion”) for which you may earn a reward (each a “Reward”) as described in more detail below and in the supplemental terms (“Supplemental Terms”) of each Promotion. To participate in the Rewards Program or any Promotion, you must be a legal entity duly organized and in good standing in a U.S. state where Company offers the Zyla Account service. We will determine your eligibility to earn Rewards or participate in the Rewards Program and any Promotion in our sole and absolute discretion. The Rewards Program and Rewards are provided solely for loyalty, award, and promotional purposes.

How to Earn a Reward. To earn a Reward, you must make an eligible transaction or perform another action for which Rewards may be earned under a particular Promotion, as more specifically described in the Supplemental Terms of the relevant Promotion and any other instruction we may provide (each, an “Eligible Transaction”). Unless otherwise stated in the Supplemental Terms, if you earn a Reward redeemable for cash, your Reward’s cash proceeds will be made available to you or credited to your Zyla Account in accordance with the schedule, currency, form, and manner described in the Supplemental Terms. Your Zyla Account must be valid, open and in good standing, and must not be suspended, canceled, and/or terminated at the time the relevant Reward is earned or credited to such account. You may be contacted by Company or a representative, who will request your transaction or order number, and other information necessary to verify your Eligible Transactions and process your Rewards. You must provide and verify all of the information that the Company representative requests in order to verify that you are eligible to earn, and have completed all necessary steps to earn and redeem, Rewards. You will not earn a Reward, or will forfeit your Reward, if you fail to provide all of the information that we request, or if we are unable to track or verify your identity, the status of your Zyla Wallet, or your satisfaction of any conditions to earning or redeeming a Reward.

Eligible Transactions. Eligible Transactions are described for each Promotion in the relevant Supplemental Terms.

Other Restrictions on Rewards. Unless and until your Rewards are redeemed, credited to your Zyla Wallet in in U.S. Dollars, in full and final credit, the Rewards and their proceeds: (a) have no cash value; (b) are not your property; (c) may not be transferred to any other person; and (d) may not be transferred by operation of law, such as by inheritance, bankruptcy, or in connection with a divorce.

Notwithstanding anything to the contrary in these Terms, we have the sole discretion to delay the crediting or redemption of a Reward for any reason that we deem appropriate, including for the purposes of assessing your eligibility. A Reward is not transferable or exchangeable for cash, credit, products, or privileges or other benefits or payments in kind, whether in full or in part, or refundable or replaceable. Reward may not be used in conjunction with other discounts or promotions.

Rewards may be cancelled, revoked, or we may decline to issue you a Reward: (a) if we believe or suspect your use of the Rewards Program is suspicious, fraudulent, or in violation of these Terms, or applicable law; (b) you are in default of any agreement you have with the supplier from whom you made the Eligible Transaction; (c) you cancel your Rewards Program participation; or (d) for any reason determined by Company in its sole discretion, subject to applicable law.

Purchase Disputes. Company does not take any responsibility for any content, services, products, or activities paid for using an Eligible Transaction. Company does not endorse or guarantee the products or services at the merchants or suppliers you purchase from. Company does not sell or provide any goods or purchases and all payments are made directly to the supplier when you pay or authorize payments through your Zyla Account. For all questions or customer service inquiries about a supplier website, products or services, and your purchase, please contact the supplier directly.

If you make a purchase of goods or services at a supplier, you are subject to their terms, return policy, and privacy policy. COMPANY WILL NOT, UNDER ANY CIRCUMSTANCES, BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY GOODS OR SERVICES PURCHASED AT A SUPPLIER OR FOR ANY HARM, DAMAGES, OR LOSS IN CONNECTION WITH OR CAUSED BY GOODS OR SERVICES PURCHASED AT SUCH SUPPLIER OR YOUR RELIANCE ON THE CONTENT, WEBSITE, OR BUSINESS PRACTICES OF SUCH SUPPLIER.

Amendments, Restrictions, Termination. We may add to, terminate, and/or change the Rewards Program at any time with or without notice to you. For example, we may change the amount of Rewards you can earn for making an Eligible Transaction, impose additional eligibility requirements such as limiting Rewards to purchases of certain products or purchases from certain suppliers, impose caps on earning and/or using Rewards, change the eligibility requirements for the Rewards Program, place restrictions on or terminate your ability to earn Rewards, terminate your participation in the Rewards Program, or terminate all or parts of the Rewards Program. We may not notify you of such changes, unless required by applicable law. You acknowledge that in the event we make these changes, you may no longer be able to earn Rewards.

We have the right to terminate or restrict your participation in the Rewards Program. We may revoke the Rewards issued to you under the Rewards Program, and you authorize us to charge the payment method you linked to your Zyla Account in the amount of the Reward or to set off against any other amount due from us to you, as we determine, in our sole discretion, that (a) you were not eligible to receive the Rewards, (b) you engaged in abuse, misuse, or fraud in connection with the Rewards Program, or (c) you otherwise use the Rewards Program in violation of these Rewards Terms, your agreement with the merchant from which you made the Eligible Purchase, or applicable law.

Fees, Taxes. You are solely liable for any federal, state, or local taxes including making any required disclosures to the appropriate tax authority as a result of earning Rewards and remitting any applicable taxes to the appropriate tax authority. Consult your tax advisor for additional information.

Representations and Warranties. By participating in the Rewards Program, you represent and warrant that: (i) you are legally able to participate in each Promotion according to the laws and regulations applicable to it, and that you are is fully authorized to do so; (ii) to the best of your knowledge, all information disclosed by it to Company is complete, true and accurate; (iii) you or any person purporting to act on your behalf consents to participate in the Promotion in the capacity of participant; (iii) you consent to the use and sharing of your data by Company in accordance with Company’s Privacy Policy and any other privacy policy governing the Zyla Account, and applicable laws, (iv) you will not use the Promotion in any way that Company (in its sole and absolute discretion) considers to be unreasonable, unethical, excessive, or in bad faith; or in any way that breaches any applicable local, national, or international law or regulation, or that is in any way unlawful, fraudulent, or wrongful, or has any unlawful, fraudulent, or wrongful purpose or effect.

Indemnification and Liability Release. You agree to indemnify Company and its shareholders, affiliates, subsidiaries, bank partners, agents, service providers, and each of their respective employees, officers, directors, agents, and service providers (“Indemnified Parties”) for all claims, demands, damages, losses, liabilities, penalties, costs or expenses, (“Losses”) caused by, arising out of, in connection with, or related to your or their participation in the Rewards Program and any related services made available to you by Company. Except where prohibited by law, you also agree to release and hold harmless the Indemnified Parties from any and all Losses caused by, arising out of, in connection with, or related to your or their participation in the Rewards Program and any related services made available to you by Company.

Except where prohibited by law, the Indemnified Parties shall not be liable for: (a) late, lost, delayed, stolen, or misdirected Rewards, (b) incomplete, unreadable, inaccurate, unintelligible, lost, or misdirected communications, (c) malfunction, failure, or unauthorized access of any communication system, software, or hardware used to provide the Rewards Program, (d) any injuries, losses, or damages of any kind resulting from acceptance, possession, or use of a Reward, or from participation in the Rewards Program, (e) any injuries, losses, or damages of any kind resulting from your purchase of goods or services from a qualifying merchant or (f) any printing, typographical, administrative, or technological errors in any websites or materials associated with the Rewards Program. Company disclaims any liability for damage to any system, software, or device resulting from participating in, accessing, or downloading information in connection with this Rewards Program. As a condition of entering the Program, and unless prohibited by law, you agree that under no circumstances will you be entitled to any awards for any losses or damages, and you hereby waive all rights to claim punitive, incidental, consequential, and any other damages, and waive any and all rights to have damages multiplied or otherwise increased. Notwithstanding anything in these Terms or the Online Terms and Conditions to the contrary, Company’s cumulative liability, including for claims, expenses, damages or indemnity obligations under or in connection with its obligations under these Terms, will not exceed US $500. In no event shall Company, its affiliates, agents, representatives, directors, officers, or employees be liable for any act or omission arising in connection with these Terms. To the fullest extent permitted by applicable law, you hereby waive any and all rights to bring any claim or action related to the Promotion beyond one (1) year from the first occurrence of the act, event, condition or omission on which such claim or action is based. A waiver of rights may not apply to you in your jurisdiction of residence. Additional rights may be available to you.

Notwithstanding anything to the contrary in these Terms or the Online Terms and Conditions, our cumulative liability, including for claims, expenses, damages or indemnity obligations under or in connection with its obligations under the Rewards Program, will not exceed $200.

Privacy. To participate in the Rewards Program, we may share certain personal information you provided to us with our affiliates, referral partners, advertising providers and other parties (such as e-commerce platforms) for fulfilling Rewards Program purposes. Such personal information will be collected, processed, stored, used, and shared in accordance with the Zyla Privacy Policy https://www.zyla.com/disclaimer-policies/privacy-policy/.

Communications. You agree that we may communicate with you about this Rewards Program, using electronic means or otherwise, at the contact information you provide in connection with your claim for a Reward. For purposes of these Terms only, you expressly authorize Company and its affiliates, agents, contractors, collectors, representatives, assigns, and servicers/service providers (collectively, the “Messaging Parties“) to contact you using automatic telephone dialing systems, automated dialer systems, artificial or pre-recorded voice message systems, text messaging systems, and automated e-mail systems for any and all purposes arising out of or relating to these Terms and in order to provide you with information about this Agreement. You authorize the Messaging Parties to make such contacts using any telephone numbers (including wireless, landline and VOIP numbers) or e-mail addresses you supply to the Messaging Parties in connection with these Terms (or that the Messaging Parties have on file for you, to the extent permitted by law). You understand that anyone with access to your telephone or e-mail account may listen to or read the messages the Messaging Parties leave or send you, and you agree that the Messaging Parties will have no liability for anyone accessing such messages. You further understand that, when you receive a telephone call, text message, or e-mail, you may incur a charge from the company that provides you with telecommunications, wireless, and/or Internet services, and you agree that the Messaging Parties will have no liability for such charges. You expressly authorize the Messaging Parties to monitor and record your calls with the Messaging Parties. To the extent you have the right under applicable law to revoke this authorization, you agree you may do so, in writing, by contacting Company.

Disclaimer. THE REWARDS PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF NON-INFRINGEMENT OF THIRD PARTY RIGHTS, TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND FREEDOM FROM COMPUTER VIRUS OR OTHER HARMFUL COMPONENTS.

Cancelling your Participation. You may cancel your participation in the Rewards Program by contacting us at [[email protected]] or [(855) 797-3366]. All pending Rewards will be forfeited and cancelled immediately upon cancellation and may not be reinstated if you choose to reinstate your participation in the Rewards Program at a later date.
